Terms of Service

Welcome to VarsityScape

Thank you for your interest in VarsityScape Limited, a company incorporated and operating under the laws of the Federal Republic of Nigeria (hereinafter referred to as “VarsityScape”, “we”, “us” or “our”). VarsityScape owns and operates the website, mobile applications, online services, digital platforms, features, and other products or services that may be offered now or in the future (collectively, the “Service”).

These Terms of Service (“Terms”), which may be amended, updated, or modified by VarsityScape from time to time, constitute a binding legal agreement between you (“you” or “your”) and VarsityScape governing your access to and use of the Service.

Please read these Terms carefully and ensure that you understand them before using the Service. By registering, browsing, accessing, or using any part of the Service, you expressly acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy and any other policies or guidelines that may be incorporated by reference.

If you do not agree to these Terms, you may not use the Service. Your continued use of the Service following any updates to these Terms shall constitute acceptance of the revised Terms.

By using the Service, you also represent and warrant that you have the legal capacity and authority to enter into this agreement, and where applicable, that you are using the Service on behalf of a company, institution, or other legal entity duly authorized to bind such entity to these Terms.

Definitions

“Academy” means a customized online learning environment, workspace, or digital hub created and managed on the VarsityScape platform. It is designed to host and deliver educational content, training programs, or courses to learners and may include features such as live classes, recorded lessons, assessments, discussion forums, and integrations with third-party tools. Each Academy operates independently within VarsityScape and is accessible only to authorized participants (e.g., students, instructors, or administrators) as determined by the Academic Creator.

“Academy Creator” means the individual, institution, organization, or entity that establishes, administers, and manages an Academy on VarsityScape. The Academy Creator determines the purpose, content, structure, and policies governing their Academy, including enrollment rules, data retention practices, and access controls.

“Expert” means an individual or entity with specialized knowledge, skills, or professional experience who registers on VarsityScape’s Talent Marketplace to offer services that support the creation, delivery, or management of Academies. Experts may include, for example, instructional designers, subject-matter specialists, teaching assistants, graphic designers, video editors, curriculum developers, marketing professionals, or technical support providers. 

“Instructors”/ “Facilitators” means individuals (either working independently as Academy Creator or engaged by an Academy Creator) who deliver educational content, assessments, or training through an Academy. 

“Services” means VarsityScape’s website, online learning platform, mobile applications, tools, content, and all related offerings that support cohort-based learning programs, institutional integrations, and community engagement.

“Students’/ “Learners” means individuals who enroll in or participate in learning programs hosted on an Academy.

“Talent Marketplace” means a feature within VarsityScape’s Services that connects Users, such as Academy Creators, Students, and external experts, with professionals who can provide specialized support, collaboration, or services to help design, manage, and run Academies more efficiently.

“User”/ “You” means any individual or entity that accesses, registers for, or uses the Services provided by VarsityScape. This includes but is not limited to Academy Creators, Students/Learners, Instructors/Facilitators, Experts, or Visitors. For this Privacy Policy, “You” applies to all categories of Users, unless otherwise specified.

“Visitors” means individuals who browse or interact with VarsityScape’s website, platform, or related Services without necessarily creating an account.

Who May Use the Service We Provide?

Age Requirements

You must be at least 13 years of age to use our Service independently. Nonetheless, if you are under the age of legal capacity in your country, that is, the age at which you are eligible to enter into a binding contract or lawfully consent to the processing of your Personal data,  you may only use the Services with the express and verifiable consent of a parent or legal guardian. Such parent or legal guardian must assume full responsibility for your use of the Services. 

VarsityScape reserves the right to request proof of such consent at any time and may suspend, restrict or terminate access to the Services if satisfactory proof is not provided.

Use as a Student

VarsityScape is open to students in institutions of higher learning in Nigeria, including but not limited to universities, polytechnics, colleges of education, and monotechnics. The Services are  also available to secondary school students preparing for or aspiring to enter higher education institutions. In addition, independent Learners, who are not formally associated with any educational institution, may also use the Services for personal or professional development.

Use as an Academy Creator or Instructor

Academy Creators or Instructors (such as instructors, tutors, and other academic professionals or lecturers) may use the Service to:

  • Build and engage their academic or professional community,
  • Publish and sell courses, study materials, and educational resources,
  • Showcase and promote their professional expertise, and
  • Leverage VarsityScape’s tools and features for collaboration and visibility.

Use as an Expert on the Talent Marketplace

Experts (such as digital marketers, instructional designers, academy consultants, and content writers) may use our Service to:

  • Market their expertise and professional skills.
  • Connect with other Users such as Students, Academy Creators, Instructors, and fellow Experts to provide their skills and expertise. 

Profile Types

As a User, you may be restricted from accessing certain aspects of our Services except you create an account with us. Such registration grants you access to certain areas or features of our Services, depending on your profile type. 

 By default, a  “Student” profile type is assigned upon account creation. You may update your profile type in the Profile Edit tab to better reflect your role (e.g., Student, Academy Creator, Instructor, or Expert/Talent). Profile types are primarily for identification purposes and do not grant additional rights or privileges unless explicitly stated by VarsityScape.

If you wish to upgrade your account (for example, to become an Instructor, Academy Creator, or Talent on the Talent Marketplace), you must follow VarsityScape’s application and approval process. VarsityScape reserves the right to approve, reject, or revoke upgraded profiles at its sole discretion.

Linked Accounts

For your convenience, VarsityScape allows one-click login via approved third-party social media and identity service providers. By linking such accounts, you authorize VarsityScape to access basic information (e.g., your name and email address) from the linked account. All other profile information must be completed manually in your VarsityScape account.

You may unlink accounts at any time through your Account Settings tab, though VarsityScape shall not be liable for any disruption or loss of access resulting from unlinking.

Limitations to Use

VarsityScape aims to make the Service widely accessible,  however, you may not use the Service if:

  • You are under the age of 13,  or where the laws of your country set a highe age threshold,   you do not have verified parental or guardian consent.
  • You have been suspended, banned, or removed from VarsityScape for violations of these Terms, misuse of the Service, unlawful activities, or any reason deemed valid by VarsityScape.
  • You attempt to create duplicate accounts to circumvent restrictions or suspensions.
  • Your use of the Service violates applicable laws, regulations, or VarsityScape policies.

VarsityScape reserves the right to suspend or terminate access at its sole discretion where any breach of these requirements occurs.

Content on the Service

The Service contains various forms of content, including but not limited to study materials, courses, audio-visual, graphics, text, photos, branding elements, software, and other digital or interactive features provided by VarsityScape, Users, Experts/Talents, Academy Creators, or other third parties (collectively referred to as “Content”).

VarsityScape Content

All proprietary contents created, owned, or licensed by VarsityScape (hereinafter “VarsityScape Content” and include the platform design, software, user interface, uer experience, trademarks, branding, and original materials) remains the exclusive property of VarsityScape, and is protected by applicable intellectual property laws. 

You may not use, reproduce, distribute, or modify VarsityScape Content except as expressly permitted under these Terms or with prior written authorization from VarsityScape.

User-Generated Content

Users may upload, post, or otherwise make available Content (including text, images, audio, video, documents, comments, reviews, ratings, or course materials) through the Service (“User Content”). 

By uploading such Content, you represent and warrant that:

  • You own or have the necessary rights, licenses, and permissions to use and share the Content.
  • Your Content does not infringe on any third-party rights, including intellectual property, privacy, publicity, or contractual rights.
  • Your Content is not defamatory, and does not violate any applicable law, regulation, or VarsityScape policy.
  • You remain solely responsible and liable for the Content you upload, including any consequences that arise from its use or misuse.

VarsityScape does not endorse, guarantee, or take responsibility for the accuracy, reliability, or legality of User Content. Any reliance on User Content is at your own risk.

Responsibility and Liability

  • Users retain ownership of the Content they upload but grant VarsityScape a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, distribute, display, and adapt the Content as necessary to operate, promote, and improve the Service.
  • VarsityScape reserves the right (but has no obligation) to review, moderate, remove, or restrict access to any Content that it determines, in its sole discretion, violates these Terms, infringes third-party rights, or poses legal, reputational, or security risks.
  • VarsityScape expressly disclaims liability for any damages, losses, or disputes arising out of or related to User Content or content provided by third parties.

Third-Party Content

The Service may also include Content provided by third parties (e.g., partners, advertisers, or licensors (‘Third-Party Content’). Intellectual property rights in Third-party Content belongs to such third-party. Also, such Content is the sole responsibility of the party making it available, and VarsityScape shall not be held liable for any claims, damages, or issues arising from its use.

Commercial Uploads on VarsityScape

As part of the Content that may be uploaded on the Service, Instructors and Academy Creators are permitted to upload courses, course materials, and other educational content for sale through VarsityScape. Such content is not free unless expressly designated otherwise by the Instructor or Academy Creator and is protected by applicable copyright and intellectual property laws.

By uploading Content for commercial purposes on the Service, you represent, warrant, and agree that:

  1. The Content is your original work, or you have obtained all necessary licenses, rights, consents, and permissions to lawfully reproduce, sell, distribute, and otherwise make it available on VarsityScape.
  2. Your Content does not infringe upon or misappropriate any third-party intellectual property, privacy, contractual, or other proprietary rights.
  3. You grant VarsityScape a limited, worldwide, non-exclusive, royalty-free, sublicensable license to host, display, market, and process transactions for your Content as necessary to operate and provide you with the Service and facilitate  the sale of your Content.
  4. You are solely responsible for the accuracy, quality, legality, and appropriateness of your Content, including any claims, disputes, or liabilities that arise from its use, purchase, or reliance by Students.
  5. VarsityScape reserves the right to charge commission, transaction, or service fees on sales made through the Service, as communicated in our pricing or Academy Creator’s terms. All payments will be processed in accordance with VarsityScape’s payment and withdrawal policies.
  6. VarsityScape may, at its sole discretion, refuse, suspend, or remove any commercial Content that violates these Terms, applicable laws, or poses reputational, security, or compliance risks.

Privacy Policy

Your privacy is important to VarsityScape. Please read our Privacy Policy carefully, as it is hereby incorporated into these Terms of Service and forms an integral part of our contract with you. The Privacy Policy provides detailed information on how VarsityScape collects, uses, stores, shares, and protects your Personal Data in connection with the Service.

By using our Service, you acknowledge and agree to VarsityScape’s data practices as described in the Privacy Policy. If you do not agree, you must discontinue use of the Service.

Authorisations and Restrictions

You are permitted to use VarsityScape and the Content made available to you, provided that your use complies with these Terms of Service and all applicable laws and regulations.

However, you are expressly prohibited from engaging in the following without our prior written consent:

  1. Accessing, reproducing, storing, broadcasting, transmitting, or distributing any part of the Service or its Content that is not expressly made available to the public by VarsityScape.
  2. Interfering with, disabling, modifying, reverse-engineering, bypassing, or attempting to circumvent any technical, security, or access control measures of the Service, including penetration testing without prior written authorization.
  3. Copying, modifying, disassembling, decompiling, or otherwise attempting to discover the source code, algorithms, or underlying structure of the Service.
  4. Accessing or attempting to access the Service using automated tools, bots, spiders, scrapers, crawlers, or other similar technologies, whether existing or developed in the future, unless expressly permitted in writing by VarsityScape.
  5. Using VarsityScape’s trademarks, logos, service marks, copyrighted materials, or any proprietary branding or Content for personal, commercial, or competitive gain, except as expressly permitted by these Terms or other written agreements.
  6. Using the Service in a way that is unlawful, fraudulent, defamatory, harassing, infringing on the rights of others (including intellectual property or privacy rights), or otherwise harmful to VarsityScape, its Users, or third parties.
  7. Uploading, sharing, or distributing any Content through the Service that you do not own or have full legal rights to use, reproduce, license, or sell.

VarsityScape reserves the right to suspend or terminate your account and take legal action if you engage in any prohibited activities listed above.

Content Ownership, License, and Account Termination

Any content you upload or publish on VarsityScape remains your property, and you retain all rights to such content. However, this is subject to the licenses and permissions you grant to VarsityScape under these Terms, and in the case of Instructors working under or for an Academy Creator, any private arrangement between the Instructor and Academy Creator.

By uploading or submitting content to VarsityScape, you grant VarsityScape a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to host, store, reproduce, adapt, modify, publish, translate, create derivative works (such as reformatting or excerpts), publicly display, distribute, and otherwise use such content for the purpose of operating, promoting, improving, and securing the Service. This license continues for as long as your content remains on VarsityScape, and for a reasonable period thereafter where retention is necessary for legal, regulatory, or legitimate business purposes.

You further acknowledge and agree that:

  • VarsityScape may retain backup or cached copies of your content for a limited time after deletion.
  • Content that has already been shared with or accessed by other users may remain available to them even if you delete it from your account.
  • VarsityScape may retain and use content if required by law, regulation, dispute resolution, fraud prevention, security purposes, or to protect VarsityScape and its users from potential harm or liability.
  • You represent and warrant that you own or have all necessary rights, licenses, and permissions to upload your content and that it does not infringe or violate the rights of any third party.

You may terminate your account or remove some or all your content at any time by contacting VarsityScape support. Before termination, you may also export your data, subject to the provisions of our Privacy Policy. Individual content can only be deleted by the user who uploaded it or by VarsityScape, where such deletion is necessary under these Terms.

VarsityScape reserves the right, in its sole discretion, to remove content, restrict access, or suspend/terminate accounts if:

  • We are required to do so by law or regulatory authority.
  • You breach these Terms or other VarsityScape policies.
  • We reasonably believe your content or account may cause harm, liability, or reputational damage to VarsityScape, other users, or the public.

Termination of your account does not limit VarsityScape’s right to enforce or seek remedies for any prior violations of these Terms.

Legal Relationship between Instructors and Academy Creator

If you are an instructor working for or under an Academy Creator, or under any similar arrangement, you acknowledge that VarsityScape does not determine or govern the terms of relationship between you and the Academy Creator or the Instructor. Matters relating to ownership of Intellectual property, revenue sharing, and other related issues are solely governed by the private contractual arrangement between you and the Academy Creator or the Instructor. 

Indemnification

To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless VarsityScape Limited, its parent, affiliates, officers, directors, partners, employees, licensors, service providers, and agents (collectively, the “Indemnified Parties”) from and against any claims, demands, actions, proceedings, damages, obligations, liabilities, losses, costs, or expenses (including but not limited to reasonable attorney’s fees and legal costs) arising out of or related to:

  1. Your access to, use of, or inability to use the Service, whether active or passive
  2. Your violation or alleged violation of these Terms or any other applicable policies of VarsityScape
  3. Your violation or alleged violation of any third-party rights, including but not limited to intellectual property, publicity, privacy, contractual, or proprietary rights.
  4. Any content or material you submit, upload, publish, or otherwise make available through the Service, including, without limitation, any claim that such content caused damage, loss, or harm to a third party; and
  5. Your misuse of the Service, including any fraudulent, abusive, negligent, or unlawful conduct.

This indemnification obligation will survive the termination, suspension, or expiration of your account, these Terms, and your use of the Service. VarsityScape reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to fully cooperate with VarsityScape in asserting any available defenses.

Legal Information

By registering for, accessing, or using the Service through any means, you acknowledge and agree that you are entering into a binding legal agreement with VarsityScape Limited (“VarsityScape”). If you do not agree with any of these Terms, you must not register for, access, or use the Service. Your use of the Service is entirely voluntary, and you agree that you do so at your own risk.

You further acknowledge and agree that VarsityScape operates as an open platform that enables users to upload, post, and share content independently. VarsityScape does not endorse, verify, or assume responsibility for user-generated content, and we expressly disclaim all liability arising from content posted, transmitted, or otherwise made available by users acting in their individual capacity. You agree that VarsityScape shall not be held liable for any damage, losses, or claims resulting from such user-generated content.

VarsityScape is duly incorporated and registered under the laws of the Federal Republic of Nigeria. Any dispute, claim, or controversy arising out of or relating to your use of the Service or these Terms shall be governed by and construed exclusively in accordance with Nigerian law, without regard to conflict-of-law principles. You agree that disputes shall be resolved by the competent courts of Nigeria, unless otherwise agreed in writing by the parties.

Disclaimers

The Service is provided on an “as is” and “as available” basis without warranties of any kind, whether express, implied, or statutory. VarsityScape expressly disclaims any warranties or representations, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, completeness, availability, reliability, or that the Service will be uninterrupted, error-free, secure, or free from harmful components such as viruses or malware.

VarsityScape does not guarantee that your use of the Service will produce specific results, outcomes, or business benefits. You acknowledge and agree that you use the Service entirely at your own risk.

We reserve the right to suspend, limit, modify, or discontinue any part of the Service, whether temporarily or permanently, at our sole discretion and without prior notice. VarsityScape shall not be liable for any loss, damage, costs, or claims of any kind arising from such suspension, modification, or discontinuance, or from any unavailability of the Service due to maintenance, upgrades, system failures, acts of God, force majeure events, or circumstances beyond our reasonable control.

To the fullest extent permitted by law, VarsityScape disclaims all liability for any indirect, incidental, consequential, special, or exemplary damages, including loss of profits, goodwill, data, or other intangible losses, even if we have been advised of the possibility of such damages.

Limitation of Liabilities

To the maximum extent permitted by applicable law, VarsityScape, its parent, subsidiaries, affiliates, officers, directors, partners, employees, licensors, and agents shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to loss of profits, revenue, data, business opportunities, goodwill, personal injury, property damage, or even death, arising out of or in connection with your use of or inability to use the Service, any errors, defects, interruptions, delays, viruses, or failures in the Service, or any content posted by other users.

VarsityScape’s total cumulative liability, including that of its affiliates, officers, directors, partners, employees, licensors, and agents, for any claims arising out of or relating to these Terms or the Service, whether in contract, tort, or otherwise, shall be strictly limited to the greater of:

  1. the total amount you paid directly to VarsityScape for the use of the Service in the twelve (12) months immediately preceding the date you first provided written notice of the claim to VarsityScape; or
  1. Five Thousand Nigerian Naira (5,000).

You acknowledge and agree that this limitation of liability reflects a reasonable allocation of risk and forms an essential basis of the bargain between you and VarsityScape.

Updates to the Terms

VarsityScape reserves the right, at its sole discretion, to update, modify, amend, change, add to, or remove portions of these Terms at any time, to reflect changes in our business practices, Service offerings, legal or regulatory requirements, or for other legitimate reasons.

When material changes are made, we will notify you by reasonable means, which may include posting a notice within the Service, sending an email to your registered address, or any other method required by applicable law. The revised Terms will take effect immediately upon posting unless otherwise specified. Your continued access to or use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.

If you do not agree to the revised Terms, you must stop using the Service immediately, delete your account, and remove any content you have uploaded. You may also contact us to request the deletion or export of your personal data in accordance with our Privacy Policy.

Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a competent court or authority, such provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain valid and enforceable.

Entire Agreement

These Terms, together with the Privacy Policy and any other legal documents expressly referenced herein, constitute the entire agreement between you and VarsityScape concerning your use of the Service. They supersede and replace any prior agreements, oral or written, relating to the Service.

No Waiver

The failure of VarsityScape to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorised representative of VarsityScape to be effective.

Force Majeure

VarsityScape shall not be held liable or responsible for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to natural disasters, acts of government, labour disputes, power outages, internet or telecommunication failures, or other force majeure events.

Please note that while we make reasonable efforts to respond promptly, VarsityScape is not obligated to respond to unsolicited ideas, proposals, or suggestions, and any such communications will not create any obligation or relationship beyond what is expressly stated in these Terms.

Official notices to VarsityScape under these Terms must be sent in writing to our registered office address in Nigeria, which may be updated from time to time and reflected on our Contact Page.
